These Terms and Conditions ("Terms") govern the use of the Boundary Review software and services ("Service"). By registering for, accessing or using the Service, you agree to be bound by these Terms.
1. About Boundary Review
Boundary Review is a UK sole trader business providing software to support schools, academies and multi-academy trusts with the management of examination review workflows.
Throughout these Terms:

"Boundary Review", "we", "us" and "our" refer to Boundary Review.

"Customer", "you" and "your" refer to the subscribing school, academy, multi-academy trust or authorised organisation.

2. The Service
Boundary Review provides software designed to:

Identify potential examination review opportunities.

Record review decisions.
-
Manage review workflows.
-
Produce reports and activity records.
-
Support examination review administration.
The Service is intended to assist decision-making. Final decisions regarding examination reviews remain the responsibility of the Customer.
3. Eligibility
The Service is intended for educational organisations and authorised staff.
By using the Service, you confirm that you have authority to enter into these Terms on behalf of your organisation.
4. Customer Responsibilities
The Customer agrees to:

Provide accurate information.

Keep login credentials secure.
-
Ensure only authorised users access the Service.
-
Maintain the accuracy of uploaded examination data.

Comply with all applicable laws and regulations.
-
Ensure appropriate permissions exist before uploading personal data.
The Customer remains responsible for all actions taken using its accounts.
5. User Accounts
Customer accounts are issued for authorised users only.
Customers must not:

Share login credentials.
-
Allow unauthorised access.
-
Attempt to bypass security measures.
-
Reverse engineer or interfere with the Service.
-
Use the Service for unlawful purposes.
Boundary Review reserves the right to suspend accounts where misuse is suspected.
6. Pricing and Payment
Subscription fees are set out on our website or within an agreed quotation.
Unless otherwise agreed:

Invoices are payable within 30 days of the invoice date.

Prices are exclusive of VAT where applicable.
-
Failure to pay may result in suspension of the Service.
Any promotional pricing applies only for the period stated.
7. Founder School Programme
Where a Customer joins the Founder School Programme, any agreed founder pricing or discounts will remain subject to the specific offer communicated at the time of registration.
Founder benefits are personal to the subscribing organisation and may not be transferred.
8. Availability
Boundary Review aims to provide a reliable and uninterrupted service.
However, we do not guarantee that the Service will always be available.
Temporary interruptions may occur due to:

Scheduled maintenance.

Security updates.
-
Technical issues.
-
Events outside our reasonable control.
Where practical, planned maintenance will be communicated in advance.
9. Support
Boundary Review will provide reasonable email support during normal UK business hours.
Support does not include:

Third-party software issues.
-
Customer network problems.
-
User training beyond the agreed service.
10. Data Protection
Boundary Review processes personal data in accordance with:

Our Data Processing Agreement
The Customer remains the Data Controller for all pupil and staff data uploaded to the Service.
Boundary Review acts solely as the Data Processor.
11. Information Security
Boundary Review uses appropriate technical and organisational measures to protect customer data, including:

Google Workspace security.
-
Encryption in transit and at rest.
-
Multi-factor authentication.
-
Access controls.
-
Automated monthly backups.
-
Google Drive version history.
While we take appropriate security measures, no online system can guarantee absolute security.
12. Intellectual Property
All intellectual property rights relating to Boundary Review, including software, branding, documentation, workflows and website content, remain the property of Boundary Review unless otherwise stated.
Customers receive a non-exclusive, non-transferable licence to use the Service during their subscription.
Customers may not:

Copy the software.
-
Redistribute the platform.
-
Create derivative works.
-
Reverse engineer the Service.
-
Remove copyright notices.
13. Acceptable Use
Customers must not use Boundary Review:

For unlawful purposes.
-
To upload malicious software.
-
To interfere with the operation of the Service.
-
To attempt unauthorised access.
-
To upload information without lawful authority.
Boundary Review may suspend accounts where misuse is identified.
14. Limitation of Liability
Boundary Review provides the Service using reasonable skill and care.
To the maximum extent permitted by law:

Boundary Review shall not be liable for indirect or consequential losses.

Boundary Review shall not be responsible for examination decisions made by the Customer.
-
Customers remain responsible for checking all review recommendations before submission.
Nothing within these Terms limits liability for fraud, fraudulent misrepresentation or any liability that cannot legally be excluded.
15. Suspension and Termination
Boundary Review may suspend or terminate access where:

These Terms are breached.
-
Payment remains outstanding.
-
The Service is misused.
-
Continued access presents a security risk.
Customers may terminate their subscription in accordance with the agreed subscription terms.
16. Changes to the Service
Boundary Review may update or improve the Service from time to time.
We may also amend these Terms where necessary to reflect changes in legislation, technology or business operations.
Material changes will be communicated to customers.
17. Confidentiality
Each party agrees to keep confidential information received from the other party secure and not disclose it except where required by law or necessary for providing the Service.
18. Force Majeure
Neither party shall be liable for delays or failures resulting from events beyond their reasonable control, including natural disasters, cyber attacks, power failures or failures of third-party infrastructure.
19. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
